Terms and Conditions

1. Interpretation and Definitions

  • Company: Refers to Nexology Company Limited, 98/9 Rom Klao Rd, Soi 38/1, Khlong Samprawet, Lat Krabang, Bangkok, Thailand.
  • Service: Refers to professional engineering testing, inspections, and regulatory certification services.
  • Client: The individual or legal entity purchasing or receiving the Services.
  • Regulations: Refers to the laws of the Kingdom of Thailand, including the Engineering Act B.E. 2542, and related ministerial regulations, specifically those governed by the COET, DLPW, and DOEB.

2. Scope of Services

  • The Company shall provide inspection and certification services in accordance with the specific Letter of Engagement, Work Order, or agreed project specifications.
  • Services are performed based on the applicable regulatory framework, which may include Thai ministerial regulations, internationally recognized codes and standards, or specific Client project requirements as defined in the scope of work.
  • Any certification issued is based on the conditions present at the time of inspection.

3. Regulatory Compliance

The Company operates in strict alignment with Thai statutory authorities to ensure professional integrity and public safety. Depending on the scope of the Service, compliance is maintained as follows:

  • COET (Council of Engineers Thailand): All engineering work is performed or supervised by licensed professional engineers as mandated by the Engineer Act, B.E. 2542 (1999).
  • DLPW (Department of Labour Protection and Welfare): Safety inspections and certifications are conducted to ensure workplace safety compliance under the Occupational Safety, Health and Environment Act.
  • DOEB (Department of Energy Business): Inspections involving fuel storage, gas systems, or energy-related hazardous substances are conducted in accordance with DOEB ministerial regulations.

4. Acknowledgment & Access

  • By engaging our Services, you agree to provide our engineers and inspectors safe access to the necessary sites and documentation.
  • You represent that you have the legal authority to grant access to the equipment or premises subject to inspection.
  • The Company reserves the right to withhold certification if the Client’s facilities or equipment do not meet the mandatory safety standards or specific project requirements.

5. Limitation of Liability

  • Professional Liability: The Company’s total liability for any claim arising out of the inspection or certification process—whether in contract or tort—is limited to the total fees paid by the Client for that specific service.
  • Indirect Damages: To the maximum extent permitted by Thai law, the Company is not liable for consequential losses, including loss of production, loss of profit, or business interruption following an inspection result or regulatory delay.

6. “As-Is” Disclaimer

  • While the Company performs inspections with professional due diligence, a certification or report represents compliance only at the moment of testing under specific operational parameters. It is not a guarantee of future performance.

7. Governing Law and Jurisdiction

  • Governing Law: These Terms are governed by and shall be construed in accordance with the laws of the Kingdom of Thailand and related ministerial regulations.
  • Dispute Resolution: Any dispute that cannot be resolved informally shall be submitted to the exclusive jurisdiction of the courts in Bangkok, Thailand.

8. Termination

  • The Company may suspend or terminate services immediately if:
    1. The Client fails to provide a safe working environment for inspectors.
    2. The Client attempts to influence the results of a regulatory certification or professional assessment.
    3. Payment terms are not met according to the agreed schedule.
